Terms of Service
These terms are an agreement between you and Sparrow (“we”, “us”), the seller of Sparrow. They cover the Sparrow desktop app, the service it connects to, this website and the minutes you buy. By downloading Sparrow, using it or buying minutes, you agree to them.
1. What Sparrow is
Sparrow is a desktop app for macOS and Windows that transcribes a live conversation and uses AI models to suggest answers, including code for programming questions and analysis of screenshots you choose to capture. Transcription and answers are produced by third-party speech and AI providers through our server, so Sparrow needs an internet connection.
2. Who can use Sparrow
You must be at least 18 years old, or the age of legal majority where you live, and able to enter into this agreement. If you use Sparrow for an organization, you confirm you may accept these terms for it.
3. No accounts
Sparrow has no user accounts. The first time it connects, Sparrow registers your computer and stores an encrypted activation on it. Your minutes belong to that activation. Keep your computer and purchase codes secure: anyone with your purchase code or your computer can use the minutes.
4. Free trial
Each computer receives 20 free minutes once, when Sparrow first connects. Reinstalling Sparrow does not grant another trial. We may change or end the trial for new computers, and may refuse trials we reasonably believe are being abused, for example through repeated registration of virtual machines.
5. Buying minutes
- Minutes are sold in one-time packs. There is no subscription and no automatic renewal. Prices are shown in US dollars before you pay and may change for future purchases.
- Payment is processed by Stripe. Taxes are added where they apply. Your purchase is complete when Stripe confirms the payment.
- After payment you receive a purchase code. Entering it in Sparrow adds the pack’s minutes to that computer. A code can be added once, to one computer, and minutes can’t be moved to another computer. Re-entering a code on the same computer after reinstalling restores its remaining minutes.
- Minutes are a prepaid right to use the service. They have no cash value and can’t be exchanged, except as the Refund Policy describes.
- Purchase codes are for your own use and may not be resold.
6. How time is counted
Time is counted to the second while a session is running, from Start listening until the session ends, including any screen analysis during it. Time outside a session is free. When your balance reaches zero, the answer being written finishes and the session ends. Our server’s record of your balance is authoritative.
7. Refunds
Refunds follow the Refund Policy, which forms part of these terms. Nothing in these terms limits rights you have under consumer law where you live.
8. Acceptable use
You agree to use Sparrow lawfully and responsibly. In particular, you will not:
- record or transcribe a conversation without the notice or consent the law requires where you and the other participants are — in many places, everyone on a call must agree to being recorded or transcribed;
- use Sparrow where doing so breaks rules, agreements or policies that apply to you, such as exam or assessment rules, an employer’s policies or a contract;
- use Sparrow to harass, deceive or harm anyone, or to violate anyone’s privacy or intellectual property;
- interfere with, overload, probe or bypass the security or metering of our service, or use it except through the Sparrow app;
- copy, resell or redistribute the service, or extract the AI providers’ models or our credentials.
You are responsible for how you use Sparrow and for what you say or do with its output.
9. AI output
Answers, transcripts and code are generated automatically and can be incomplete, wrong or unsuitable. They are suggestions, not professional, legal, medical or financial advice. Check anything important before you rely on it.
10. Third-party services
Sparrow relies on providers including Speechmatics (speech recognition), OpenRouter and the AI model providers it routes to (answers), Stripe (payments) and our hosting providers. Their availability is outside our control. The Privacy Policy explains what they receive.
11. Your content
You keep all rights to what you say, type, upload or capture, and to the answers Sparrow produces for you. You give us and our providers permission to process that content only to provide the service to you. Our server does not store it.
12. Our software
We grant you a personal, non-exclusive, non-transferable licence to install and use Sparrow on computers you own or control, under these terms. Sparrow, its design and its name remain ours. Please don’t reverse engineer the service to get around its metering or security.
13. Updates and changes
We may update Sparrow, change or add features, or change the AI models it uses, to keep it working well. Sparrow tells you when a new version is available. We may update these terms; the date above shows the latest version, and material changes apply to minutes bought after they take effect.
14. Suspension and ending the service
We may suspend a computer’s access if it breaks these terms, abuses the trial or threatens the service’s security. If we stop offering Sparrow, we will give reasonable notice on this website and handle unused purchased minutes as the law requires.
15. Disclaimer
Apart from the guarantees the law gives you and that can’t be excluded, Sparrow is provided “as is” and “as available”. We work to keep it fast and reliable but don’t promise it will always be available, uninterrupted, error-free or suitable for a particular purpose, or that it will be hidden from every screen-sharing or recording tool.
16. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for lost opportunities, profits or data. Our total liability for any claim about Sparrow is limited to the amount you paid us for minutes in the 12 months before the claim. These limits don’t apply where the law does not allow them, such as for fraud or for death or personal injury caused by negligence.
17. Indemnity
If someone makes a claim against us because of how you used Sparrow in breach of these terms or the law, you agree to cover the reasonable costs that result, to the extent the law allows.
18. Governing law and disputes
These terms are governed by the laws of Georgia, United STATES, without regard to conflict-of-law rules. Please contact us first so we can try to resolve any problem informally. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and may bring a claim in its courts.
19. General
If part of these terms can’t be enforced, the rest still applies. Not enforcing a right straight away doesn’t waive it. You may not transfer these terms; we may transfer them to someone who takes over Sparrow, with your rights unaffected. These terms, the Privacy Policy and the Refund Policy are the whole agreement between us about Sparrow.
